"We are very proud of our results for 2019," said George Makris, Jr., chairman and CEO of Simmons First National Corporation. "Not only did we produce excellent financial results, we welcomed new associates from Reliance Bank in St. Louis and Landmark Bank in Columbia, MO to the Simmons family. From time to time we tend to be focused more on specific metrics within our financial performance and lose sight of the bigger picture results. In retrospect, our performance in 2019 was remarkable. We achieved a return on assets of 1.33% and a core return on assets of 1.51%, which exceeded our target of 1.50%. We produced a 9.9% return on common equity with an 18.0% return on tangible common equity and a 20.3% core return on tangible common equity. We operated at an efficiency ratio of 50.3%, which is within our target range of 50-55%. Our construction and development concentration went from 105% at the end of the second quarter to 98% at year-end while our commercial real estate concentration was lowered from 333% at the end of the second quarter to 293% at year-end - both ratios now below the regulatory guidelines. And importantly, our book value per share rose 8.1% while our tangible book value per share rose 12.1% during a time when we completed two acquisitions - Reliance Bank in St. Louis and Landmark Bank in Columbia, MO - which added $4.9 billion in assets and we repurchased $10 million of our stock." Book value per share was $26.30 and tangible book value per share was $15.89 at December 31, 2019, compared to $24.33 and $14.18, respectively, at December 31, 2018. The ratio of tangible common equity to tangible assets was 9.0% at December 31, 2019, compared to 8.4% from the previous year-end.

DA Davidson analyst Gary Tenner raised his price target on Simmons First National (SFNC) to $33 and kept his Buy rating after the company announced a sale of its four South Texas branches to Spirit of Texas Bank (STXB). The analyst says the deal will help in reducing Simmons' expenses and freeing resources for deployment in other markets, which he sees as a positive in a "challenging organic revenue growth environment".

Spirit of Texas Bancshares (STXB) announced that the Bank has entered into a branch purchase and assumption agreement with Simmons Bank, pursuant to which the Bank will acquire four Simmons branch offices and one Simmons mortgage loan office located in Austin, San Antonio and Tilden, Texas, as well as certain of their deposits, loans and other assets. The addition of these five locations will increase Spirit's number of locations to 41 across the State of Texas and establish a physical presence in two of the key Texas growth markets. Completion of the transaction is expected in the first quarter of 2020 and is subject to certain closing conditions, including customary regulatory approvals. As of September 30, the combined deposit and loan balances of the five Simmons offices were approximately $160M and $272M, respectively. Simmons is a subsidiary of Simmons First National Corporation (SFNC), an Arkansas-based financial holding company.

Stephens analyst Matt Olney downgraded Simmons First National to Equal Weight from Overweight with a price target of $27, down from $29, following what he called "noisy" Q3 results. Credit results were disappointing and he gets the sense management will pause its M&A strategy to allow for full digestion of previous deals, said Olney, who has lowered his 2020 operating EPS forecast for First National to $2.27 from $2.44.

The Program will terminate on October 31, 2021. The new Program replaces the Company's existing stock repurchase program, which was announced on July 23, 2012.

"We are very pleased with our operating results this quarter," said CEO George Makris. "We continue to have very strong loan demand opportunities although our customers are displaying cautious optimism regarding the uncertainty in the world economy today and interest rate adjustments that may not appear to be related precisely to economic data. We are beginning to see significant results from our Next Generation Banking technology investment. We have successfully converted our system processing to a hosted environment increasing the security and reliability of our systems. Also, on October 16th, we launched our new mobile banking app. The customer response has been phenomenal. We will continue to expand our digital offerings over the coming months. I have mentioned for some time now that asset quality is one of our top priorities, and the loss we experienced as a result of the White Star bankruptcy is certainly disappointing. In response to it, we have, among other things, made changes to our credit underwriting and approval processes that are consistent with the conservative credit culture at Simmons. We are on target to complete our previously announced acquisition of The Landrum Company on October 31 with an expected system conversion during the 1st quarter of 2020. We are excited about the expanded market presence in several states because of this merger."
